THE HASTINGS DOWNTOWN BUSINESS ASSOCIATION BYLAWS

 

                                                             

 

                          ARTICLE I – PURPOSE

 

     Section 1:         The Downtown Business Association is an organization of business people committed to the development                    of___________________________________________________________.

 

 

     Section 2:         The basic goal of the Downtown Business Association shall be

                          ARTICLE II - IDENTITY

 

 

     Section 1:         Association members shall be entitled to use the association mane when referring to Downtown Business Association promotional activities.  Association members understand and acknowledge that by becoming a member of this association, they are forming an agreement with other association members to conduct themselves and their activities in accordance with the terms of these Bylaws.

 

     Section 2:         The Downtown Business Association is an unincorporated association of members whose relationship to each other consists only of their agreement to act together under the terms of these Bylaws in furtherance of the purpose of these Bylaws.  By associating with the Downtown Business Association a member does not become the agent of the Downtown Business Association nor form of establish a partnership with the Downtown Business Association or other members.

 

 

 

                          ARTICLE III – MEMBERSHIP & CLASSIFICATION

 

 

     Section 1:          Any person who is accepted for membership in the Downtown Business Association shall be deemed to have accepted these Bylaws and shall be bound by them in all respects.

 

     Section 2:         Any member may resign their membership from the Downtown Business Association provided that all of his or her indebtedness to the Downtown Business Association has been paid in full.

 

                                              

 

                          ARTICLE IV – TERMINATION OF MEMBERSHIP

 

     Section 1:         Any member being in arrears in payment of the annual membership fees shall be dropped from the membership and shall no longer be a member in good standing and shall be so notified forthwith in writing by the president or treasurer of the Downtown Business Association.

 

     Section 2:         Only members in good standing may vote on issues at meetings or for election of officers and participate on committees.

 

 

                          ARTICLE V – OFFICERS

 

     Section 1:         The officers of the Downtown Business Association shall consist of a president, vice-president, secretary, and treasurer who shall be elected annually.  In the event that any office becomes vacant for any reason whatsoever, the vacancy shall be filled forthwith by election at the next monthly meeting.

 

    Section 2:         The president of the Downtown Business Association shall preside at all meetings of the membership, be ex-officio member of all committees, exercise general supervision over affairs of the Downtown Business Association, perform such other duties as are ordinarily incumbent upon a president.

 

     Section 3:         The vice-president of the Downtown Business Association shall perform such duties that are ordinarily incumbent upon the vice-president and such other duties as may be assigned by the president.

 

     Section 4:         The secretary of the Downtown Business Association shall conduct all correspondence as may be required by the president, will monitor attendance and shall take and prepare the minutes of the meetings, and generally perform such duties that are ordinarily incumbent upon a secretary.

 

     Section 5:         The treasurer of the Downtown Business Association shall keep and maintain records of all financial actions of the Downtown Business Association which shall include all records of annual membership fees, and all monies collected and disbursed.  The treasurer shall prepare statements for the Downtown Business Association and perform such duties that are ordinarily incumbent upon a treasurer.

 

 

                          ARTICLE VI – ELECTION PROCEDURES

 

    Section 1:         The election of officers shall be held at a regular meeting in December.

 

    Section 2:         At a regular meeting in November the president shall appoint a nomination committee.  The president shall designate the chairperson of this committee.  The duties of this committee shall be to make nominations, with consent of those nominated, and to prepare a ballot for the election of such officers.

 

    Section 3:         At the regular December meeting the nominating committee shall submit a list of nominees.  At the floor of the regular December meeting a nomination may be made for any office and when so made together with the list submitted by the nominating committee, shall then be the list of nominees submitted to the Downtown Business Association for the election of officers.

(A)  On election day nominations from the floor are acceptable as long as the nominee agrees to the nomination and is in attendance at the meeting, and is a member in good standing.

(B)  At the majority’s decision, votes may be taken orally or written.

(C)  Results of written ballots will be made known to the membership immediately.

(D)  Only members in good standing are allowed to vote in the election.

 

 

                          ARTICLE VII – MEETINGS

 

 

    Section 1:         The Downtown Business Association shall hold one meeting per month on such day and place as shall be determined by the president.

 

 

                          ARTICLE VIII – MEMBERSHIP FEES

 

 

    Section 1:         Each new member shall pay an annual membership of $50.00, the payment of said fee to be a prerequisite to admission to membership, payable prior to becoming a member.

 

    Section 2:         Renewal dues shall be due annually on the anniversary date of joining.

 

    Section 3:         A member shall be regarded as in good standing if he or she is not more than thirty (30) days in arrears in payment of any indebtedness.

 

 

                          ARTICLE IX – COMMITTEES

 

     Section 1:         The Downtown Business Association shall determine the number and purpose of all special and standing committees necessary for the achievement of the objectives and purposes of this organization.

                                          

 

    Section 2:         The president shall appoint persons/committees to carry out functions on assignments as needed.

 

 

                          ARTICLE X – NOT-FOR-PROFIT ORGANIZATIONS

 

 

    Section 1:         The Downtown Business Association shall operate as a not-for profit organization for personal and professional improvement and other similar non-profit purposes.  Any income received shall be applied only to the non-profit purposes of the organization, and no part of the income shall become inure to the benefit of any officer or member.
